This issue can occur if the host server account does not have specific permissions for the Exchange Server gift basket in Active Directory.
Resolution:
Use ADSI editor,to grant permissions for the server account in the Exchange Server container in Active Directory. ADSI Edit is located in Support Tools, I would say a folder on the Windows 2000, Windows Server 2003 CD.

Expand Configuration, expand CN = Configuration, DC = Domain, DC = com, expand Contingency Services, and then expand Microsoft Exchange.
Expand Organization Name, expand Administrative Groups, improve Administrative Group Name, and then expand Servers.
Right-click the Server Name and select Properties.
Go to all the Security tabs, make sure the Site object is in the Companies with rights list, and then make sure the appropriate Allow Full Control checkbox is selected. If this permission is selected, do not select the Allow during full access check box, and then click OK.
Stop ADSI editing.
Wait for the change to replicate directly between controllersand domain.
Start system monitoring.
